(PTY) LTD Company Registration Certificates Explained

Each company registration certificate serves an important purpose, and we're here to guide you through them. So, let's dive in and explore what each certificate is all about;

COR 14.3 (Company registration certificate)

The first and most important document you'll receive, commonly known as the company registration certificate, is crucial for confirming your company's key information. Here's what you can expect to find on this certificate:

  • Registration number
  • Registered name
  • Registration and trading dates
  • Entity type
  • Company status
  • Financial year end
  • Registered addresses
  • Director information

Obtaining this document is a significant step after registering your company. It's often required when applying for tenders or compliance registrations.

  • Entity type
  • Registration date
  • Registered addresses
  • Number of directors
  • Registered name

COR 14.1A (Notice of Incorporation)

Another essential document you'll receive is the notice of incorporation, also known as the director's information document. This document confirms crucial details about the initial directors of your company, including:

  • Full name
  • Occupation
  • ID number and country of origin
  • Date of appointment
  • Cell phone number
  • Postal and residential address

It serves as an important record of your initial directors' information.

COR 15.1A (Memorandum of Incorporation / MOI)

The COR 15.1 A, commonly referred to as the memorandum of incorporation (MOI) confirms the total number of shares your company is permitted to issue to shareholders.

An MOI is also used to to confirm the rights each director or shareholder receives. A custom MOI can also be submitted to the CIPC department to state a company’s nature of business and specific business regulations/conditions.

SARS income tax registration certificate

All PTY LTD companies are automatically registered at SARS and receive an income tax number. Income tax numbers are stated on an income tax registration certificate.

Income tax numbers are used when submitting company tax returns to SARS.

Companies only receive an official black and white COR 14.3 certificate after being registered which is required when applying for business bank accounts or tenders/contracts.

COR 14.1, COR 14.1A, and COR 15.1A certificates aren’t automatically issued to companies after they are registered, but you can request incorporation certificates (that are also in colour) once your company is registered and you received your company registration number.
