External Company

An External Company is a business that was originally registered outside of South Africa, but now operates in the country — either through a branch, a representative, or a physical office.

If your foreign-registered company is doing business in South Africa, you’ll likely need to register it with CIPC as an External Company.

"When do I need to register as an External Company?"

You’re required to register if your foreign company:

  1. Has a physical office or branch in South Africa
  2. Employs people based in South Africa
  3. Delivers services or sells goods to South African customers
  4. Enters into contracts or leases locally

Even if you’re not trading under a South African company name, you still need to register if you have a formal presence here.

"What do I need to register an External Company?"

To register, you’ll need to provide:

  • Proof of registration from your home country (like a certificate of incorporation)
  • A certified copy of your founding documents
  • A local representative (with a South African address)
  • A registered office address in South Africa

CIPC uses this information to list your foreign company as legally operating within the country.

"Can I register an External Company without a local office?"

No.

You must have a physical presence in South Africa, even if it’s just a small branch or shared office.

Virtual-only businesses without a real-world footprint do not meet the requirements.

"What are the benefits of registering as an External Company?"

Registering allows you to:

  • Trade legally within South Africa
  • Open local bank accounts
  • Enter contracts and agreements under South African law
  • Comply with local tax and business regulations
  • Show credibility to South African partners, customers, or suppliers

It also protects your brand and allows you to operate without setting up an entirely new local company (unless you choose to).

"Is an External Company the same as a local (Pty) Ltd?"

No.

An External Company is still legally based in its original country, it’s just registered to operate locally.

It doesn’t replace your existing business; it extends it.
