CoR39
The CoR39 is the form you submit to CIPC when there’s a change to your company’s directors.
It’s officially called the Notice of Change of Directors, and it must be filed whenever you:
- Add a new director
- Remove a director
- Update a director’s personal details (like their ID number or address)
CIPC requires an up-to-date record of who is legally responsible for running your company and the CoR39 is how you keep that record current.
"What information is included on a CoR39?"
The CoR39 form will show:
- The full name and ID/passport number of each director
- Whether they are being appointed or removed
- The date the change takes effect
- Any updated contact or residential details
"When should I submit a CoR39?"
You must submit a CoR39 to CIPC any time your list of directors changes, including if:
- A director resigns or passes away
- You appoint a new co-founder or partner
- A director’s ID or address changes
- You restructure the board or remove someone from their role
Even small updates matter, so if your director list is even a little bit incorrect, your company is not legally compliant.
"What happens if I don’t update my directors with a CoR39?"
Your CIPC records will be outdated, which can lead to problems like:
- Being marked non-compliant
- Delays when applying for tenders or funding
- Trouble opening or updating business bank accounts
- Issues with SARS, especially if your public officer changes
The CIPC expects this information to be accurate at all times.
"Can I file a CoR39 myself?"
You technically can, but it’s easy to make mistakes, especially if:
- You forget to attach a signed resolution
- You don’t include proper ID copies
- You’re not sure which date or version to use
Many business owners prefer to use Govchain to avoid rejections or delays.
We’ll make sure the process is done properly from start to finish.
"Do I need to notify SARS when I change directors?"
Yes, especially if the change affects your public officer (the person SARS deals with for tax matters).
If the public officer changes, SARS needs to be informed as well.
"What if I never submitted a CoR39 in the past?"
You’ll need to catch up by submitting the correct information now.
Even if it’s overdue, it’s important to make sure your director records are accurate and up to date.
"How do I submit a CoR39?"
Govchain takes care of the entire process, from checking your current director records to preparing the correct forms and submitting them to CIPC.
